1. Acceptance of Terms
By accessing or using the Clarion platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Clarion provides a Security Observability Platform that includes:
- Security Observability — metrics, logs, traces, and security events collection
- Runtime Protection — kernel-level threat detection and active blocking
- Compliance & Hardening — CIS, SOC2, PCI DSS, GDPR continuous compliance checks
- Vulnerability Management — runtime-aware CVE prioritization
- SAST Agent — LLM-powered static code analysis
- Attack Surface Management — DNS-driven discovery and DAST scanning
3. Account Registration
To use the Service, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
4. Subscription and Payment
4.1 Pricing
The Service is offered under various subscription plans. Current pricing and features are available on our website. Prices are subject to change with 30 days' notice.
4.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in these Terms.
4.3 Taxes
You are responsible for all applicable taxes. If we are required to collect taxes, they will be added to your invoice.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service to transmit malware, viruses, or other harmful code
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or provide access to the Service to third parties without authorization
- Use the Service to collect data about other users without their consent
6. Data and Security
6.1 Your Data
You retain all rights to the data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service.
6.2 Data Processing
We process data in accordance with our Privacy Policy and applicable data protection laws, including GDPR where applicable. We employ industry-standard security measures to protect your data.
6.3 Agent Data Collection
The Clarion agent collects system-level telemetry data, including process information, network connections, file system events, and system calls. This data is necessary to provide security observability and threat detection capabilities.
7. Intellectual Property
The Service, including all software, documentation, and content, is owned by Clarion and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
You may provide feedback, suggestions, or ideas about the Service ("Feedback"). We may use this Feedback without any obligation to you.
8. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties without prior written consent, except as required by law.
9. Service Level Agreement
For paid subscriptions, we commit to a 99.9% uptime SLA for the Service. Service credits will be provided for verified downtime exceeding this commitment, subject to our SLA policy.
10. Warranties and Disclaimers
WARNING
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Security software cannot guarantee protection against all threats.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLARION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Clarion and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.
13. Term and Termination
13.1 Term
These Terms are effective until terminated by either party. Your subscription will automatically renew unless cancelled before the renewal date.
13.2 Termination
You may terminate your account at any time through the Service settings. We may terminate or suspend your access immediately if you violate these Terms.
13.3 Effect of Termination
Upon termination, your right to use the Service will cease immediately. We will delete your data within 30 days of termination, unless retention is required by law.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
16. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Clarion regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
- Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
- Assignment: You may not assign these Terms without our prior written consent.
